Marketing Affiliate Agreement

Eligibility, tiered commission structure, payout terms, and promotional rules for Optimum World Charity Marketing Affiliates.

1. The Parties and Effective Date

This Marketing Affiliate Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the registering promotional partner identified below (Affiliate). This Agreement becomes effective when the Company approves the Affiliate's application.

2. Eligibility and Performance Requirements

The Affiliate qualification period begins on the Effective Date and ends twelve (12) months later. During that period, the individual will participate in the Company's standard Ambassador tier. To qualify for Affiliate status under this Agreement, the individual must generate at least fifty (50) Successful Client Registrations during that initial 12-month qualification period. If the individual does not meet that requirement, the individual will remain in the Ambassador tier.

A "Successful Client Registration" means a new client's completed, fully paid enrollment in the Opti-Life Makeover Challenge that (a) is correctly tracked to the individual's unique tracking link, (b) has cleared the Company's payment process, and (c) has not been refunded, reversed, canceled, charged back, or determined by the Company in good faith to be fraudulent, duplicate, or obtained through a violation of the applicable program agreement.

After the Company verifies that the individual has met the 50-registration requirement, the Company will confirm the individual's Affiliate status in writing. The Affiliate must then maintain at least fifty (50) Successful Client Registrations during each subsequent rolling 12-month period measured from the Effective Date. If the Affiliate does not meet that continuing requirement, the Company may move the Affiliate to the standard Ambassador tier after providing notice under Section 10. The Company will apply the Ambassador-tier terms prospectively and will not reduce commissions already earned under this Agreement, except as provided in Sections 6 and 7.

3. Compensation and Tiered Volume Bonuses

For each Successful Client Registration directly generated through the Affiliate's unique tracking link, the Affiliate earns a commission equal to fifteen percent (15%) of the amount paid for the enrollment, excluding taxes, processing fees, refunds, chargebacks, credits, and discounts. No commission may exceed $500 for an individual enrollment, except as expressly provided for Tier 3 below.

At the end of each calendar year, the Company will calculate the Affiliate's total Successful Client Registrations for that year. The following tiers apply:

Tier 1 — Base Professional: 50 to 99 registrations. The Affiliate earns the standard 15% commission, up to $500 per client.

Tier 2 — Growth Bonus: 100 to 199 registrations. The Affiliate earns the standard 15% commission, up to $500 per client, plus a $1,000 milestone bonus.

Tier 3 — Elite Partner: 200 or more registrations. Starting with the first Successful Client Registration after the Affiliate reaches 200 registrations during that calendar year, the commission rate increases to 20%, up to $750 per client. The Affiliate also earns a $2,500 milestone bonus.

A milestone bonus is paid only when the registrations used to qualify for it remain active and have passed the applicable refund period. If a refund, chargeback, fraud determination, or violation later reduces the qualifying total below a threshold, the related bonus may be canceled before payment or recovered under Section 6 after payment.

4. Provided Marketing Assets and Support

The Company grants the Affiliate a non-exclusive, revocable right to use the official promotional resources the Company makes available for the Program, subject to this Agreement and the Company's written brand guidelines. These resources may include:

• Marketing training modules and promotional videos. • Official brand banners and graphic design assets. • Technical support for tracking, dashboards, and link optimization, subject to availability.

The Company may update, withdraw, or replace promotional resources at any time. The Affiliate may use the resources only to promote the Program and may not alter them in a way that is misleading or inconsistent with Company instructions.

5. Payout Method and Timeline

All commission and milestone bonus payments will be processed exclusively through Stripe. The Affiliate must maintain a valid, active Stripe account connected to the affiliate platform and provide all information Stripe or the Company needs to receive payment.

The Company will calculate and pay eligible commissions no later than forty-five (45) days after the last day of the calendar quarter in which the applicable Successful Client Registration occurred. The Company will calculate and pay any eligible annual milestone bonus no later than forty-five (45) days after the end of the first calendar quarter following the year in which it was earned. Payment may be delayed if the Affiliate's Stripe, tax, or other required account information is incomplete or invalid.

6. Refunds, Chargebacks, and Commission Recovery

If a client receives a refund, reversal, cancellation, or chargeback, the related commission is not earned or is subject to recovery, as applicable.

Before payment: the related pending commission or milestone bonus will be canceled and removed from the Affiliate dashboard, if applicable.

After payment: the Affiliate must promptly repay the full related commission or milestone bonus upon the Company's request. The Company may instead deduct the amount from future affiliate earnings to the extent permitted by applicable law.

7. Prohibited Promotion Rules and Consequences

The Affiliate must protect the Company's brand and may use only truthful, lawful, and Company-approved promotional materials and claims. Prohibited activities include:

• Posting tracking links on public coupons, discounts, or deal-aggregator websites. • Bidding on Company names, trademarks, or keywords, including Opti-Life, through Google Ads, Meta Ads, or other paid advertising networks without the Company's prior written approval. • Spamming, including unsolicited email, automated bot comments, or unsolicited posts in unrelated online forums. • Creating websites, landing pages, social media handles, or other content that impersonates or mimics the official Company brand. • Making false, misleading, unsubstantiated, or unauthorized claims about the Company, the Program, or expected results.

A material violation of this Section or other unethical promotion may result in immediate termination. The Company may cancel commissions attributable to the violation and any related pending rewards. Commissions earned before termination for compliant Successful Client Registrations remain payable under this Agreement, except as provided in Section 6 or where the Company determines in good faith that fraud or a material violation affected the registration.

8. Compliance and Independent Contractor Status

The Affiliate must comply with all applicable laws and advertising rules, including clear and conspicuous disclosure of the Affiliate's financial relationship with the Company when making public endorsements or sharing tracking links. Examples may include #ad or #sponsored when accurate and appropriate, but the Affiliate remains responsible for disclosures that are clear in context.

The Affiliate is an independent contractor and is not an employee, agent, partner, joint venturer, or representative of the Company. Nothing in this Agreement gives either party authority to bind the other.

9. Terms of Use and Privacy Policy

This Agreement is made in addition to the Company's Terms of Use and Privacy Policy posted on the Company's website, each as in effect on the Effective Date. If there is a conflict between this Agreement and those documents concerning the affiliate program, this Agreement controls.

10. Program Changes, Termination, and Downgrade

The Company may modify program terms or terminate this Agreement. The Company will provide notice of a material change by email to the address associated with the Affiliate's application or Stripe account, by notice in the affiliate platform, or by posting notice on the Program website. Unless the notice states a later effective date, a change becomes effective thirty (30) days after notice.

A change will not retroactively reduce commissions already earned for Successful Client Registrations occurring before the effective change date except for refunds, chargebacks, fraud, or a violation of this Agreement. The Company may terminate participation immediately for a material violation or unethical promotion, as described in Section 7.
